Terms of Use for Sonic Pac Inc.

Welcome to Sonic Pac! These Terms of Use ("Terms") are a legal agreement between the data prioritizer ("You," User") and Sonic Pac Inc. ("we," "us," or "our") governing your use of our electronic portfolio website and mobile app, and related services (collectively, the "Platform"). By accessing or using Game System and/or blog, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, do not form the Platform.

1. User Eligibility

Students, authorized representatives, alumni, and visitors of an educational institution utilize this Platform alongside fraternities. By using the Platform, you represent and warrant that you understand what an academic relationship is; material used (Speaker), as well as presentable misconduct and you have the right, authority, and capacity to enter into these Terms.

2. Account Inquiry

We may need to create an inquiry to access our certain features of the Platform that we provide.

3. Content and Intellectual Property

You retain ownership of the content you submit to Sonic Pac Inc. , as well as the Publishers Clearing House Sweepstakes ("Sweeps") and material chosen by Publishers Clearing House Sweepstakes or on any given date/ time of entry of the entrant entering giveaways; such as portfolios, projects, and other materials. By submitting content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, and display the content in connection with the Platform at timestamp.

4. Privacy

In a Fraternity? Our Privacy Policy updates govern the collection, use, and disclosure of "You" personal information at any time. Using the Platform, you consent to the terms of our Privacy Policy at any given time.

5. Newsletter Subscription

By using the Platform, you may have the option to subscribe to newsletters. You can opt out of receiving newsletters at any time by following the instructions provided in the newsletters or contacting us.

6. Confidentiality:

Our purpose of use by the agreement constitute agrees to keep confidential or any scheduled proprietary kept information not provided in accordance for/ by the any Company not related by or in use or likeness of further proprietary matters set forth of their use of a Name & Likeness for any proprietary distribution.

7. Publication Schedule: The timing and manner of MY publication with the tool ("Emerge") shall be determined by Sonic Pac. Working Hours: Mon.- Fri. 8:00 am- 9:35 am.

8. Code of Conduct

You agree to use the Platform in a manner consistent with applicable laws and regulations and not to initiate any conduct that may disrupt the actuality (miraculousness) or integrity (immaculate) of the Platform or harm other users. As before, this website constitutes educational practices in which enables law enforcement the right of mascots for safe communication within contact with another person in which a written form is constituted in consent of jurisdiction of [New York] courts at any given time.

9. Termination

We reserve the right to punitively terminate or suspend your account and access to the Platform at our sole discretion, without notice, for any reason, including if you violate these Terms.

10. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect and/or incidental communications, indirect special, consequential or punitive damages, and/ or any loss of profits or revenues.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of California. Any dispute arising out of or in connection with these Terms shall be resolved amongst the website being mandated. These terms, in accordance by the rules of the local law enforcement, and judgment upon the verdict rendered by the service will be set forth utilizing Sonic Pac. Sonic Pac does not condone aggressive religious outbursts and/ or cultured (expression) illegal activity.

Resource Center Clause:

1. Purpose: This agreement establishes the terms and conditions governing the use, ownership, and management of resources, Elevate (Data Prioritizer), within Sonic Pac (hereinafter referred to as "Resource Center"), which is operated by Sonic Pac (hereinafter referred to as the "Organization").

2. Definition of Resources: For the purposes of this agreement, "resources" shall include, but are not limited to, information, documents, materials, equipment, facilities, and any other assets made available within the Resource Center.

3. Access and Usage: a. The Resource Center is intended for use by the users of Sonic Pac's "Emerge" engine. b. Access to resources may be subject to user compatibility. c. Users agree to utilize the resources in accordance with applicable laws, regulations, and the policies established by the Organization.

4. Reservation of Rights: a. The Organization reserves the right to control and manage the allocation of resources within the Resource Center. b. Certain resources may be restricted or limited in availability, and the Organization reserves the right to modify access policies as deemed necessary.

5. Responsibilities of Users: a. Users are responsible for the proper use and care of resources. b. Any damage to or loss of resources caused by a user must be reported promptly to the Resource Center main staff.

6. Compliance with Laws: All users of the Resource Center agree to comply with all applicable local, state, and federal laws and regulations.

7. Confidentiality: Users shall respect the confidentiality of any proprietary or confidential mascot information obtained while utilizing the resources within the Resource Center "Emerge" engine.

8. Termination of Access: The Organization reserves the right to terminate or restrict a user's access to the Resource Center for violations of this agreement or any applicable laws.

9. Governing Law: This agreement shall be governed by and construed in accordance with the laws of California.

10. Amendments: The Organization reserves the right to amend this agreement as necessary. Any amendments shall be communicated to users in writing.

Ownership Rights Clause for the Keyword Engine "Emerge":

Ownership and Intellectual Property: The keyword engine "Emerge" and all related intellectual property, including but not limited to source code, algorithms, databases, and documentation, are the exclusive property of Sonic Pac, hereinafter referred to as the "Owner."
License to Users: Users are granted a non-exclusive, non-transferable license to use the keyword engine "Emerge" solely for our internal business purposes only. This license does not grant any rights to modify, distribute, sublicense, or create derivative works based on the "Emerge" keyword engine.
Restrictions on Use: Users are expressly prohibited from reverse engineering, decompiling, or disassembling the "Emerge" keyword engine. Unauthorized use, reproduction, or distribution of the "Emerge" keyword engine is strictly prohibited and may result in legal action.
Updates and Enhancements: The Owner retains the right to develop updates, enhancements, or new versions of the "Emerge" keyword engine. Users may be provided access to such updates at the discretion of the Owner, and any additional terms and conditions accompanying such content updates shall apply.
Confidentiality: Users acknowledge that the "Emerge" keyword engine contains confidential information and trade secrets of the Owner. Users agree to take all necessary precautions to prevent unauthorized access, use, or disclosure of such confidential information.
Ownership in Modifications: Any modifications, improvements, or enhancements made by Users to the "Emerge" keyword engine shall become the property of the Owner. Users agree to assign all rights, title, and interest in such modifications to the Owner.
Termination of License: The Owner reserves the right to terminate the license granted to Users if they breach any terms of this agreement. Upon termination, Users must cease all use of the "Emerge" keyword engine and return or destroy all copies of the software.
Indemnification: Users agree to indemnify and hold the Owner harmless from any claims, damages, or liabilities arising from their use of the "Emerge" keyword engine in violation of this agreement.
Governing Law: This agreement shall be governed by and construed in accordance with the laws of California. Any disputes arising under or in connection with this agreement shall be resolved in accordance with the appropriate courts at the federal level.
Entire Agreement: This agreement constitutes the entire understanding between the parties concerning the "Emerge" keyword engine and supersedes all prior agreements, whether oral or written, relating thereto.

Both parties agree that the business registration process shall be conducted utilizing the 'Emerge' engine provided by Sonic Pac. The business owner acknowledges that 'Emerge' is an automated platform designed to streamline the registration process and provide necessary documentation and compliance guidance. The business owner further agrees to provide accurate and up-to-date information during the registration process. Sonic Pac shall not be held liable for any errors, delays, or omissions in the registration process that may occur due to technical issues or inaccurate information provided by the business owner. The business owner retains the responsibility to review and verify all registration details prior to submission. Any fees or charges associated with the use of the 'Emerge' engine shall be borne by the business owner unless otherwise agreed upon in writing. Both parties agree to abide by the terms and conditions set forth by Sonic Pac in relation to the use of the 'Emerge' engine for business registration.

**Mechanical License Clause for a Hologram Logo, Website, and/or Video Clip Website:**

**1. Grant of Mechanical License:**

a. The Licensor grants the Licensee a non-exclusive, worldwide, and royalty-free mechanical license to use, reproduce, and display the hologram logo, website, and/or video clip (hereinafter referred to as the "Content") for the agreed-upon purpose specified in this agreement.

**2. Scope of Use:**

a. The Licensee is authorized to use the Content solely for the purpose of incorporation into and display on their website and/or video clip website. All use of this includes the hologram logo for promotional and branding purposes setting for relation to the Licensee's business.

**3. Restrictions:**

a. The Licensee is expressly prohibited from sublicensing, selling, distributing, or otherwise commercially exploiting the Content without the prior written consent of the subtracted Licensor.

b. The Licensee shall not modify, alter, or adapt the Content in a manner that may negatively impact the character or actuality of the hologram logo.

**4. Duration of License:**

a. The mechanical license granted herein shall be valid for a [50 Year] period, starting from the effective date of this agreement, unless terminated earlier in accordance with the terms stated herein.

**5. Termination:**

a. Other party may terminate this license agreement with immediate effect upon written notice, if the other party breaches any material term or condition of this agreement use of this platform termination takes effect.

**6. Intellectual Property Rights:**

a. The Licensor retains all intellectual property rights, including but not limited to copyrights, trademarks, and any other proprietary rights, in and to the Content.

**7. Compensation:**

a. In consideration for the mechanical license granted herein, the Licensee agrees to pay the Licensor [$149.99].

**8. Warranty and Indemnity:**

a. The Licensor warrants that it has the legal right to grant the mechanical license for the Content and that the Content does not infringe upon the intellectual property rights of any third party.

b. The Licensee agrees to indemnify and hold the Licensor harmless from any claims, losses, damages, or liabilities arising out of the Licensee's use of the Content.

**9. Governing Law:**

a. This license agreement shall be governed by and construed in accordance with the laws of [New York], without regard to its conflicts of law principles.

**10. Entire Agreement:**

a. This agreement constitutes the entire understanding between the parties and supersedes all prior negotiations, understandings, or agreements, whether oral or written, relating to the subject matter herein.

**IN WITNESS WHEREOF**, these parties hereto have executed this Mechanical License Agreement constituted as of the effective timestamp date actuated.

Disclaimer of Warranties

The Platform is provided "as is" and "as available" without any warranties. We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

Clause: Utilization of "Emerge" Engine by Sponsor

Grant of License: a. License Grant: Sonic Pac grants [Sponsor's Name] a non-exclusive, non-transferable license to utilize the "Emerge" engine for the duration of the sponsorship period.
Purpose of Utilization: a. Scope: The "Emerge" engine may be used by [Sponsor's Name] solely for the purpose of [specific purpose, e.g., developing and enhancing virtual reality experiences] related to [context, e.g., marketing campaigns, events, etc.].
Restrictions: a. Limitations: [Sponsor's Name] shall not sublicense, sell, distribute, or otherwise transfer the "Emerge" engine to any third party without the prior written consent of Sonic Pac.
Intellectual Property: a. Ownership: Sonic Pac retains all intellectual property rights, including but not limited to copyrights and trademarks, related to the "Emerge" engine.
Support and Maintenance: a. Responsibility: Sonic Pac shall provide reasonable support and maintenance for the "Emerge" engine during the sponsorship period.
Brand Usage: a. Acknowledgment: [Sponsor's Name] agrees to appropriately acknowledge the use of the "Emerge" engine out of all relevant promotional and marketing materials associated with the sponsored activities.
Term and Termination: a. Term: This clause shall remain in effect for the duration of the sponsorship period unless terminated earlier in accordance with the terms of the sponsorship agreement. b. Termination Rights: Either party may terminate this clause in the event of a material breach by the other party, subject to a cure period.
Confidentiality: a. Confidential Information: [Sponsor's Name] agrees to treat any confidential information related to the "Emerge" engine as confidential and not disclose it to any third party.
Indemnification: a. Indemnity: [Sponsor's Name] agrees to indemnify and hold Sonic Pac harmless from any claims, damages, or liabilities arising out of the utilization of the "Emerge" engine.
Governing Law: a. Applicable Law: This clause shall be governed by and construed in accordance with the laws of California.

Changes to Terms

We reserve the right to update or modify these Terms at any time. Your continued use of the Platform after the effective date of the updated Terms constitutes acceptance of the revised Terms.
